TERMS AND CONDITIONS

  1. Introduction

These Terms and Conditions govern your use of the services provided by KTree Computer Solutions India (P) Ltd. (“Company,” “We,” “Us”), a company registered in India with its office at C Block, 1st Floor, Sanali Info Park, 8-2-112/120/1, Venkat Nagar, Road No. 2, Banjara Hills, Hyderabad 500034, Telangana, India. By making a payment or registering for our services, you (“Client,” “You”) agree to these terms.

 

  1. Services

We provide information technology services including managed IT support, cloud computing, cybersecurity, software development, network administration, and consulting. The specific scope and deliverables will be defined in the applicable Statement of Work (SOW) or proposal shared with you prior to engagement.

 

  1. Payments
  • All fees are as quoted in the applicable proposal or invoice and are exclusive of GST and other applicable taxes.
  • Payments must be made through our approved online payment gateway at the time of registration or as per the agreed payment schedule.
  • All online payments are processed through secure, PCI-DSS compliant third-party payment gateways. We do not store your card or banking details on our servers.
  • Invoices are due within thirty (30) days of the invoice date unless otherwise agreed.
  • Late payments may attract interest at 1.5% per month.
  • TDS, if applicable, shall be deducted as per the Income Tax Act, 1961. TDS certificates must be provided within prescribed timelines.

 

  1. Intellectual Property
  • All deliverables created for the Client shall be owned by the Client upon full payment.
  • The Company retains ownership of its pre-existing tools, frameworks, and methodologies.
  • The Company may use general knowledge and techniques gained during the engagement for future work, provided no Confidential Information is disclosed.

 

  1. Confidentiality

Both parties agree to keep all non-public information shared during the engagement confidential. This obligation survives for three (3) years after termination. Confidential Information does not include information that is publicly available, independently developed, or required to be disclosed by law.

 

  1. Data Protection and Privacy
  • We handle your data in accordance with the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023.
  • We collect only the information necessary to provide our services and process payments.
  • We do not sell or share your personal data with third parties except as required to deliver services or comply with legal obligations.
  • In the event of a data breach, we will notify affected parties within 72 hours as required by applicable law.

  1. Disclaimers
  • Services are provided on an “as-is” basis to the extent permitted by Indian law.
  • We do not guarantee uninterrupted or error-free service delivery.
  • We are not liable for any issues arising from third-party software, platforms, or services used in conjunction with our deliverables.

 

  1. Termination
  • Either party may terminate the engagement with thirty (30) days’ written notice.
  • We may suspend or terminate services immediately if payments are overdue by more than fifteen (15) days.
  • Upon termination, the Client shall pay for all services rendered up to the date of termination.

 

  1. Governing Law and Disputes

This Agreement is governed by the laws of the Republic of India. Any disputes shall first be resolved through good faith negotiation. If unresolved within thirty (30) days, disputes shall be settled by arbitration under the Arbitration and Conciliation Act, 1996, with the seat in Hyderabad, Telangana. The courts of Hyderabad shall have exclusive jurisdiction.

 

  1. General
  • These terms constitute the entire agreement between you and KTree Computer Solutions India (P) Ltd.
  • We may update these terms from time to time. Continued use of our services after changes constitutes acceptance.
  • If any provision is found unenforceable, the remaining provisions remain in full effect.
